Senior Legal & Contracting Associate is a senior execution-focused legal role responsible for the day-to-day execution of assigned contracting activities within the Group’s legal and commercial workflow in a demanding international telecom and technology environment. The role sits within the Legal & Contracting function and reports to the Legal & Contracting Lead. The primary purpose of the role is the drafting, review, negotiation, and finalization of commercial contracts and related contractual documentation supporting the Group’s commercial operations. The role focuses primarily on legal and contractual negotiations, contractual risk assessment, and operational legal support in contractual escalations, disputes, and time-sensitive negotiations, working closely with Sales, Finance, Partner Success, Product, and Operations teams. This position operates in a high-pressure, escalation-driven environment involving urgent commercial timelines, competing priorities, complex contractual structures, and regular interaction with senior internal stakeholders and external counterparties. The role therefore requires strong professional maturity, contractual negotiation capability, emotional resilience, and the ability to maintain composure under pressure. Scope of the Role Own the operational execution of the contracting workflow for assigned matters. Manage the contractual lifecycle from initial drafting through negotiation, execution, and post-signature support. Handle contractual escalations referred by Sales, Commercial, Finance, and Partner Success teams. Act as an experienced legal counterpart for internal stakeholders on contractual matters. Independently manage assigned contractual discussions across multiple jurisdictions and counterparties. Key Responsibilities Contract Drafting, Review & Negotiation Draft, review, negotiate, and finalize a broad range of commercial agreements, including monetization agreements, aggregation agreements, master services agreements, reseller agreements, licensing agreements, vendor agreements, NDAs, DPAs, and SLAs. Apply Group standards, contracting playbooks, and approved risk thresholds while exercising sound independent judgement on transaction-specific issues. Prepare commercially pragmatic redlines, fallback positions, and counterproposals tailored to the commercial and operational context of each agreement. Apply established legal positions consistently across negotiations and counterparties. Management of Contractual Escalations Act as an operational legal contact for contractual escalations involving Sales, Commercial, Finance, Partner Success, and Operations teams. Rapidly assess and triage escalations, distinguishing routine matters from issues requiring escalation to the Legal & Contracting Lead. De-escalate sensitive or adversarial situations through clear legal reasoning, commercially balanced negotiation, and pragmatic problem-solving. Manage multiple simultaneous negotiations and escalations across jurisdictions, counterparties, and business lines without loss of quality or composure. Support in Disputes & Commercial Negotiations Provide execution-level legal support in commercial disputes, pre-dispute escalations, and adversarial negotiations. Prepare contractual analyses, factual chronologies, evidence summaries, and legal position drafts. Participate in commercially sensitive negotiations requiring coordinated legal and commercial positioning. Support implementation of negotiated outcomes through settlement agreements, amendments, side letters, and related contractual documentation. Stakeholder Collaboration Work closely with Sales, Commercial Operations, Finance, Product, Partner Success, and Operations teams to deliver commercially aligned legal outcomes. Provide clear, timely, and commercially practical legal guidance to stakeholders operating under business pressure. Translate legal positions into concise and commercially understandable recommendations for non-legal audiences. Build credibility as a responsive, pragmatic, and solution-oriented legal partner to the business. Risk Assessment & Commercial Solutions Identify contractual, commercial, regulatory, and operational risks arising from proposed transactions and structures. Propose commercially workable mitigations rather than purely theoretical or overly risk-averse positions. Apply the Group’s risk thresholds and escalation principles consistently, escalating matters that fall outside approved parameters. Maintain a strong working understanding of fallback positions, negotiation parameters, and acceptable contractual deviations. Legal Research & Advisory Support Conduct legal and contractual research relating to active transactions, jurisdictional matters, and regulatory questions. Prepare concise legal summaries, internal guidance, and practical advisory when required. Required Experience Completed legal studies from an accredited university in Romania. Minimum eight (8) years of relevant legal experience gained either in private practice and/or as in-house legal counsel, with substantial exposure to international commercial contracting environments. Strong track record independently drafting, negotiating, and finalizing complex commercial agreements. Demonstrable experience handling contractual escalations, sensitive negotiations, and commercially pressured environments. Experience engaging directly with senior stakeholders and counterparties across commercial negotiations. Ability to independently assess contractual and commercial risks, apply established legal and commercial positions consistently across negotiations, and manage negotiations with limited day-to-day supervision. Proven capability to operate effectively under sustained workload pressure, competing priorities, and time-sensitive commercial deadlines. Experience negotiating agreements involving Mobile Network Operators, technology providers, OTT platforms, aggregators, or international telecom counterparties.
