The ideal candidate will have a strong understanding of corporate governance, excellent organizational skills, and the ability to work effectively in a dynamic environment. Key Responsibilities: Corporate Governance: Ensure compliance with corporate governance standards and regulatory requirements. Advise the board on their responsibilities and obligations under corporate law and company policies. Board Support: Prepare and distribute board meeting agendas, minutes, and other documentation. Coordinate logistics for board meetings and ensure proper documentation of discussions and decisions. Regulatory Compliance: Monitor changes in legislation and regulatory environment, ensuring the company remains compliant. Prepare and file necessary documentation with regulatory authorities, including annual returns and other statutory filings. Shareholder Communication: Manage communications with shareholders and stakeholders, ensuring transparency and compliance with disclosure requirements. Organize annual general meetings (AGMs) and prepare reports for shareholders. Record Keeping: Maintain corporate records, including the register of shareholders, directors, and company filings. Ensure proper documentation of company policies, procedures, and compliance activities. Advisory Role: Provide legal and compliance advice to the board and senior management. Assist in developing and implementing company policies and governance frameworks.
