We are seeking an experienced Charity & Not-for-Profit Lawyer who is interested in meaningful work, values flexibility and autonomy, and is excited to contribute to a growing practice serving the public interest. This is a fully remote, flexible contract opportunity. We are open to discussing various practice arrangements with a suitable candidate, including work on a part-time basis if desired. Compensation and potential compensation structures will be discussed with shortlisted candidates. About the Role This role is well-suited to an experienced lawyer seeking flexibility, meaningful work, and the opportunity to contribute to a growing practice serving mission-driven organizations. It is also particularly well suited to a lawyer who enjoys becoming a trusted advisor to organizations and providing the type of governance, regulatory, and compliance advice commonly provided to charities and not-for-profits. The successful candidate will provide strategic legal advice to charities and not-for-profit organizations on a broad range of governance, corporate, and regulatory matters. Our clients are engaged in a wide range of public-interest work, including community services, labour advocacy, anti-violence initiatives, human rights, housing, and social justice. The successful candidate will play an important role in helping these organizations build strong governance structures and navigate complex legal and regulatory obligations. Areas of work may include: Incorporation and organizational structuring Charity registration, maintenance and CRA compliance Development of governance documents Directors’ and officers' liability issues Governance advice to boards of directors and senior leadership ONCA and CNCA compliance By-law reviews and amendments Corporate reorganizations and continuances Governance policies and board practices General counsel-style advisory support Board education and governance training Qualifications The ideal candidate will: Be a member in good standing of the Law Society of Ontario Have at least 3 years of experience practicing charity and/or not-for-profit law Possess strong knowledge of charity and not-for-profit governance and regulatory frameworks Be capable of independently managing files and client relationships Have excellent drafting, communication, and problem-solving skills Enjoy working closely with executive directors, senior leadership teams, and boards of directors Demonstrate strong professional judgment and a client-focused approach Experience advising registered charities, foundations, community organizations, social service agencies, trade unions, or other mission-driven organizations is strongly preferred.
